Sponsor’s Terms

The following Sponsor’s Terms govern all sponsorship arrangements entered into with the Dennery Business Alliance. These terms are designed to ensure clarity, transparency, and mutual benefit between the Alliance and its sponsors while supporting the successful execution of events, programs, and initiatives. By entering into a sponsorship agreement, sponsors acknowledge and agree to the terms outlined below and commit to supporting the mission of strengthening businesses and economic development within Dennery.


1. Purpose of Sponsorship

Sponsorships with the Dennery Business Alliance are intended to support events, programs, and initiatives that promote business development, community engagement, and economic growth. In return, sponsors receive agreed-upon benefits such as brand visibility, marketing exposure, and engagement opportunities. Sponsorship contributions are not donations but structured partnerships designed to create value for both the sponsor and the organization.


2. Sponsorship Packages and Agreements

All sponsorships are offered through defined packages or customized agreements that outline the scope of benefits, financial contribution, and duration of the sponsorship. These may include branding placement, event participation, promotional opportunities, and recognition across Alliance platforms. All sponsorship arrangements must be confirmed in writing and agreed upon by both parties prior to activation.


3. Payment Terms

Sponsorship fees must be paid in accordance with the agreed terms outlined in the sponsorship agreement. Unless otherwise specified, full payment is required prior to the commencement of any sponsored event or activation. In cases where installment payments are approved, sponsors must adhere strictly to the agreed payment schedule. Failure to meet payment obligations may result in delays, reduction of benefits, or cancellation of sponsorship privileges.


4. Sponsorship Benefits and Deliverables

The Dennery Business Alliance will make every reasonable effort to deliver the benefits outlined in the sponsorship agreement. These may include logo placement, brand mentions, social media promotion, event signage, speaking opportunities, and other forms of recognition. While the Alliance strives to ensure maximum exposure and value, it does not guarantee specific results such as sales conversions, audience reach, or return on investment.


5. Branding and Use of Logos

Sponsors may provide logos, branding materials, and promotional content for use in marketing and event-related materials. It is the sponsor’s responsibility to ensure that all submitted materials are accurate, of high quality, and free from copyright or trademark infringement. The Dennery Business Alliance reserves the right to format, size, or position sponsor logos appropriately within its branding guidelines. Sponsors may not use the Alliance’s name, logo, or branding without prior written approval.


6. Exclusivity and Category Protection

Where applicable, sponsorship agreements may include exclusivity within a specific category or industry. Such exclusivity must be clearly defined in writing. The Dennery Business Alliance reserves the right to engage with multiple sponsors across different categories unless exclusivity has been formally agreed upon.


7. Sponsor Conduct and Alignment

Sponsors are expected to conduct themselves in a manner consistent with the values and reputation of the Dennery Business Alliance. Any actions, messaging, or affiliations that are deemed unethical, harmful, discriminatory, or damaging to the organization’s image may result in termination of the sponsorship agreement without refund. The Alliance reserves the right to disassociate from sponsors whose conduct conflicts with its mission or community standards.


8. Event Changes and Force Majeure

The Dennery Business Alliance reserves the right to modify event dates, formats, venues, or programming where necessary due to unforeseen circumstances. In cases of force majeure, including but not limited to natural disasters, public health concerns, or other uncontrollable events, the Alliance will make reasonable efforts to reschedule or adapt sponsorship benefits. Refunds are not guaranteed but may be considered on a case-by-case basis at the discretion of the organization.


9. Cancellation Policy

Sponsors who wish to cancel their participation must provide written notice within the timeframe specified in the sponsorship agreement. Depending on the timing of the cancellation, partial or full forfeiture of sponsorship fees may apply. The Dennery Business Alliance reserves the right to cancel sponsorship agreements if terms are violated or obligations are not met.


10. Marketing and Promotion

Sponsors agree that their brand may be included in promotional materials related to the sponsored event or initiative. This may include digital marketing, print materials, social media, press releases, and event signage. The Dennery Business Alliance retains full control over the design, messaging, and distribution of promotional content, ensuring consistency with its overall branding and communication standards.


11. Data and Lead Sharing

Where applicable, sponsors may receive access to general event insights or engagement metrics. Any sharing of attendee information or business leads will comply with privacy regulations and will only occur with appropriate consent. The Dennery Business Alliance does not guarantee access to personal data or direct customer information unless explicitly stated and agreed upon.


12. Liability and Indemnification

The Dennery Business Alliance shall not be held liable for any direct or indirect losses incurred by sponsors as a result of participation in events, programs, or promotional activities. Sponsors are responsible for their own materials, staff, and operations during sponsored activities. Sponsors agree to indemnify and hold harmless the Alliance from any claims, damages, or liabilities arising from their participation or promotional activities.


13. Amendments and Modifications

The Dennery Business Alliance reserves the right to update or modify these Sponsor’s Terms as necessary to reflect operational or legal changes. Any significant updates will be communicated where appropriate. Continued participation in sponsorship activities constitutes acceptance of the revised terms.


14. Governing Understanding

These Sponsor’s Terms, together with any written sponsorship agreement, constitute the full understanding between the sponsor and the Dennery Business Alliance. Any additional terms or conditions must be agreed upon in writing by both parties.


By entering into a sponsorship agreement with the Dennery Business Alliance, you acknowledge that you have read, understood, and agreed to these Sponsor’s Terms. Your partnership plays a vital role in supporting local businesses, strengthening the community, and advancing economic growth within Dennery.
